La démarche de fusion de sociétés commerciales à travers le monde n’est point à la mode ni en pauvreté procédurales. Ce qui m’a intéressé c’est le cas de notre pays étant l’Algérie là où les opérations de fusion de sociétés commerciales ne sont pas bien outillées en matière juridico-technique. Notre apport dans cette recherche est bien de servir, aux acteurs des opérations de fusion, aux étudiants, a toutes personnes intéressées, de document de base pour s’informer (culture de fusion) et pour les sensibiliser de l’importance des éléments requis pré-fusion, durant la fusion et même post-fusion

The purpose of this study was to determine the effectiveness of the LiPS program in improving phonological awareness skills of bilingual grade1 students having poor phonological awareness knowledge in Arabic and English languages. Specifically, this study aimed at examining the relationship between phonological awareness in Arabic and English language. The sample included 6 bilingual students from grade one from one private school in Beirut. The instrument used to measure student’s level of phonological awareness in English was the Woodcock-Johnson III, Test of Sound Awareness and an adapted Arabic version that was constructed by the researcher to measure student’s phonological awareness levels in Arabic. Results showed that there is a strong relationship between Arabic and English phonological awareness. Results also showed significant improvement of students’ phonological awareness in English; however, no improvement was shown in Arabic phonological awareness after the Linda mood Phonemic Sequencing intervention.

Heavy metals pollution in Palestine soilswas ignored for decades; anthropogenic pollution of soil has negative effect on the environment and human life. Determination of elemental background and identifying theanthropogenic pollution in Palestine soils will help in screening the anthropogenic metal-based pollution.The objective of this research was todetermine the elemental background for soil’s analysis inAl-Qilt CatchmentPalestine due to lack of such information in literature.Soil samples from pristine areas of Al-Qilt catchments were analyzed andassessedof their content forheavy and trace metals. The sources and impact of anthropogenic pollution in Al-Qilt catchment soils were also discussed.Samplesalong Al-Qilt catchment were collected. Thenwere digested by aqua regia, and analyzed by using BCR fractionation method.Data were analyzed by computing the correlation coefficient of heavy and trace metals, and graphed against Al and Fe as reference elements to xifacilitate the comparison between Al-Qilt sites. Fe was chosen aselemental normalizer, based on the higher values of correlation factor (R2) comparedto Al. This allows identifying the trace metal as a manmade pollutant, then the Enrichment Factor (EF) was calculated, this lead to identification of anomalous metal concentrations thathave an anthropogenic source.The elemental background concentrations of anthropogenic pollution in the soil of Al-Qilt catchment were determined and compared to the continental crust values.Results showed that metal/Al and metal/Fe normalization for Ti, V, Mn, Co, Rb, Ag, Li, B and Be were used as anthropogenic pollutants for most of Al-Qilt sites, As a comparison,the Fe was found to be the best elemental normalizer, The EF calculation showed that Pb had the highest value of trace metals in Ramallahand Stone cut areas,and there was a moderate values for Sn and Ag in Sweanit and Sultan respectively.Sources for pollution in Al-Qilt catchment,from heavy metals concentration in the soils of Al-Qilt catchment werehigher than the average values of continental earth crust, and thus such heavy metals are consideredas soils’ contaminants andaffect the surface and groundwater, and ultimately the people in the surround

In this research the thermal reactors have been studied, we reviewed the history of thermal reactors focusing on comparing advantages and disadvantages of using of each thermal reactors class, accordingly to these classification. we choose the pressure water reactor as the best candidate of these thermal reactors, this is due to the isolations of the second vapor cycle from the pressure and vapor system in the first cycle. This enable the pressure water reactors to be the most stable reactors that produce a low energy with increase in temperature.

ملخص المذكرة:تحظى البنوك و المؤسسات المالية بأهمية بالغة في التشريعات الدولية عموما و التشريع الجزائري على الوجه الخصوص نظرا لدورها في تحريك الاقتصاد الوطني و دفعه للتقدم.و لقد تدارك المشرع الجزائري حقيقة هذه الأهمية ،فسخر لها آليات لتنظيم عمل وسير نشاط البنوك و المؤسسات المالية فقام بعدة اصلاحات تماشيا مع نظام الاقتصادي السائد في كل فترة اهما اصدار قانون النقد والقرض 90-10 الذي فتح المجال امام الخواص مما يؤدي الى زيادة المخاطر و الاخطاء البنكية والذي الغي بصدور الامر 03-11 المعدل و المتتم بالامر 10-04 .حيث تتمثل الاجهزة المكلفة بممارسة الرقابة في بنك الجزائر،اللجنة المصرفية و مجلس النقد والقرض.ويكون تدخل هذه الاجهزة الرقابية عن طريق اليات ووسائل ،و في ايطارنظام قانوني محدد بتقنيات و قواعد ، كما أخضعها للرقابة بهدف ضمان سيرورتها في ظروف أمنة ونزيهة

Ce modeste travail nous permet de présenter la ville de Mostaganem sous ses différents paysagessans omettre le tourisme avec tous ses aouts etleur impact sur l’économie du pays.Malgré les sept wilayas situées aux alentours de la ville il reste à dire que l’évolution et le développement du tourisme n’ont toujours pas atteint le niveau souhaité par l’office national du tourisme.Quant aux normes internationales exigées il reste beaucoup à faire si l’on tient à nous rapprocher des pays entourant le bassin méditerranéen.Les infrastructures aéroportuaires, ferroviaires, et routières existant ou en cours de projet peuvent être cependant d’un apport bénéfique en plus de l’artisanat et de l’art culinaire aidant au développement du coté touristique.A travers les exemples vus dans l’étude thématique et programmatique nous avons choisis les Iles des Maldives avec leurs différents plans de masse et leurs spécificités, de même que leurs aménagements intérieurs.L’exemple suivant est celui des camps de vacances de L’alla Aicha situé en plein désert dans la Jordanie. L’architecte a mis tout songénie pour intégrer le projet dans le site .Quant à l’aménagement intérieur des suites et du restaurant le désigner a pu marier la culture locale avec un choix riche en couleurs variées et leurs ameublements.Nous n’oublierons pas aussi les œuvres d’art conçus par l’architecte français Pouillon tel que le complexe touristique Sidi Fredj à Alger duquel jaillit notre inspiration.De ces approches nous avons abouti au projet en question après avoir choisi l’assiette d’implantation et son programme reposant sur les fonctions suivantes : Unespace central sous forme de bateau aménagé en restaurant reliant des bungalows sur pilotis, Le port de loisir accueillant des bateaux de plaisances avec à sa droite un terrain de tennis quant à sa gauche c’est un espace de projection qui le rend plus accueillant.

تعد عقود المقاولات الإنشائية من أهم العقود التي تدفع بعجلة التنمية والتعمير في مختلف دول العالم، وتختلف تلك العقود بحسب المشروع المراد تنفيذه، فمنها العقود البسيطة كبناء منزل أو عمارة من طوابق معدودة أو مركز طبي، ومنها العقود الكبيرة التي تنفذ من خلالها المشروعات الضخمة كبناء المطارات والمدن الصناعية والطبية والابراج وناطحات السحاب وغيرها من المشاريع، وحيث أن تنفيذ هذه المشاريع العملاقة يتطلب إمكانيات كبيرة من رؤوس أموال وخبرة وتنوع في التخصصات، فقد ظهرت طريقة حديثة لتنفيذها عن طريق قيام تحالف بين جهات مختلفة وهو ما يعرف بتحالف (الكونسورتيوم). ويعد تحالف (الكونسورتيوم) انعكاساً للتطور الاقتصادي والاجتماعي والتقني في المقاولات الإنشائية، الذي أبرز اتجاهاً عالمياً لتوحيد وترابط وتوسيع المصالح للشركات الضخمة خارج حدود بلدانها، بهدف تنظيم أعمال الإنشاءات الدولية والمحلية والتخفيف من المخاطر التي تتعرض لها تلك الشركات أثناء تنفيذ المقاولات الإنشائية عبر الحدود، وذلك من خلال قيام تحالف تعاقدي مشترك، يهدف إلى مواجهة العقبات التي من شأنها أن تعترض تنفيذ تلك المشروعات. وفي ظل غياب التنظيم التشريعي لعقد تحالف (الكونسورتيوم)، كان هدف دراستنا تسليط الضوء على الأحكام والقواعد المعمول بها بالفعل في نطاق التحالفات والتي جرى العمل على الاتفاق عليها بين أعضاء التحالف. وعليه فقد بدأت هذه الأطروحة بمقدمة تلاها بابين تناول الباب الأول ماهية تحالف (الكونسورتيوم) ونطاقه حيث تضمن الفصل الأول بحث ماهية تحالف (الكونسورتيوم)، من خلال الوقوف على تعريف التحالف وكيفية نشأته، وبيان التكييف القانوني للتحالف وطريقة انعقاده، ومن ثم بيان خصائص هذا التحالف وتمييزه عما يشتبه به من أوضاع. أما الباب الثاني فتناول البحث في الأحكام القانونية لتحالف (الكونسورتيوم) والمنازعات الناشئة عنه، إذ تضمن الفصل الأول الأحكام القانونية لتحالف (الكونسورتيوم) متضمناً البحث في أطر العلاقات التعاقدية في عقده الداخلي بين أعضائه وعقده الخارجي مع الجهة صاحبة المشروع، ومن ثم الوقوف عند أهم المعوقات التي يوجهها هذا التحالف في تنفيذ المشروع، ومن ثم البحث في كيفية انقضاء هذا التحالف المؤقت، وصولاً إلى طرق تسوية المنازعات الناشئة عنه. لتنتهي الأطروحة بخاتمة تتضمن أهم النتائج والتوصيات التي تم التوصل لها من خلال البحث في موضوع الأطروحة
