الملخص

The liquidator becomes the commercial company representative upon its expiration by conducting the liquidation phase but while maintaining the legal personality. The liquidator is designated either by the shareholders or by the justice he shall give the liquidation and act as a representative into account the powers conferred upon it but which are not extended, since these powers are subject to the control of associates and supervisory board. The responsibility of the liquidator is determined according to tasks performed, if he commits violations, he is punished according to the provisions of civil liability. However, this precludes pursuing him for committing criminal offenses of funds or acts.Le liquidateur devient le représentant de la société commerciale dès son expiration en procédant à la phase de liquidation mais tout en préservant la personnalité morale. Le liquidateur est désigné soit par les associés ou par la juridiction pour qu'il procède à la liquidation et agir en tant que représentant tenant compte des pouvoirs lui sont attribués mais qui ne sont pas étendus, étant donné que ces pouvoirs sont soumis au contrôle des associés et au conseil de surveillance. La responsabilité du liquidateur est déterminée en fonction des tâches accomplies, s'il commet des contraventions, il est puni en application des dispositions de la responsabilité civile. Toutefois, ceci n'empêche de le poursuivre en matière pénale pour avoir commis des infractions de fonds ou d'actes.يمثل المصفي الشركة التجارية بمجرد انقضائها ودخولها في مرحلة التصفية مع احتفاظها بالشخصية المعنوية، حيث يتم تعيين المصفي من طرف الشركاء أو القضاء للقيام بأعمال التصفية وتمثيلها عن طريق السلطات التي يتمتع بها، إلا أنها ليست مطلقة بل تخضع للرقابة من طرف الشركاء ومجلس المراقبة، ونتيجة للأعمال التي يقوم بها المصفي فإن نطاق مسؤوليته يتحدد بناء على ذلك فإذ ارتكب مخالفات فتطبق عليه القواعد العامة في المسؤولية المدنية، لكن هذا لا يمنع من متابعته جزائيا عند ارتكابه للجرائم سواء جرائم الأموال أو الأعمال.
