الملخص

تنبه المشرع الإماراتي إلى الدور الإيجابي للشركات العائلية في اقتصادات الدول التي تنشط خلالها ومدى تأثيرها في زيادة حجم تلك الاقتصادات الأمر الذي دفعة إلى إصدار المرسوم بقانون اتحادي رقم (37) لسنة 2022 بشأن الشركات العائلية والعمل على استقرارها في الدولة، فمسألة بقاء الشركات العائلية في الدولة مؤداه استمرارها من جيل إلى آخر، وذلك على النحو الذي يناسب الجيل المتصدر لأعمال إدارة الشركة أو الشركات العائلية. وفي ذلك قد يحافظ الجيل المسيطر على الشكل القانوني للشركة العائلية أو يعمل على تغييرها من شكلها القائمة عليه إلى آخر بطريق تحويل شكلها القانوني أو ادماجها في عدد من الشركات العائلية أو تقسيم الشركة العائلية إلى عدة شركات عائلية فهل يمكن تطبيق الأحكام العامة لخلافة الشركات التجارية على الشركة العائلية؟ وعليه سيتم بيان ماهية الخلافة في الشركات العائلية في المبحث التمهيدي من الدراسة تمهيداً لاستعراض المضمون القانوني لخلافة الشركات العائلية في الباب الأول، في حين سيتم تخصيص الباب الثاني من الدراسة لبيان آثار خلافة الشركات العائلية على كيانها الاعتباري وذمتها المالية وما يرتبط بها من حقوق الدائنين والمساهمين فيها وكذلك شركائها سواء من العائلة الواحدة المالكة للشركات والشركاء من غير العائلة المالكة، مع عدم إغفال آثار الخلافة على التزام الشركة العائلية الخلف تجاه العقود التي أبرمتها الشركات السلف.

The UAE legislator was aware of the positive role of family businesses in the econo- mies of countries in which they operate and the extent of their impact on cumulative size of those economies. This impelled the issuance of Federal Decree - Law No. (37) of 2022 regarding family businesses and working to achieve their constancy in the UAE. The survival of family businesses in a country is confined to their continuousness from one generation to the next, in a manner that appropriate generation in control of the family businesses. In this prospective, the generation in charge may preserve the legal form of the family businesses or work to change it to another by changing their legal form, merging them into several family businesses, or dividing the family busi- ness into several family businesses. Can the general provisions for the succession of commercial companies be applied to a family business? Accordingly, the introductory section of the study will explained the succession in family businesses, as a prelude to reviewing the legal content of succession in family corporation in the first chapter, while the second chapter of the study will be devoted to explaining the effects of suc- cession in family corporation on their legal entity, financial liability, and the rights of creditors and shareholders associated with them. As well as its partners whether from the same family that owns the companies or partners from outside the owning family, without neglecting the effects of succession on the commitment of the successor family corporation to the contracts concluded by the predecessor corporation.
