الملخص

للشركات التجارية دورهام في تنمية الإقتصاد الوطني وتحقيق الإستقرار المالي، حيث تتمثل في تجميع جهود الأفراد وأموالهم في شكل مشروعات تجارية التي يعجز المرء بمفرده عن تحقيقها، مهما بلغت قدراته و إمكانياته، مما يجعلها الأداة المثلى للنهوض بالاقتصاد بدليل أنها أصبحت الآن تشكل قوة إجتماعية و إقتصادية، لكن قد تضرب الأوضاع المالية لهذه الشركات التجارية مما يحولها دون الاستمرار في نشاطها الإقتصادي، وعلى هذا الأساس وضع المشرع الجزائري آلية لوقايتها من شهر الإفلاس تتمثل في نظام التسوية القضائية الذي ينتج عنه إبرام عقد الصلح القضائي بين الشركة المدينة ودائنيها، لذا تم التطرق لكل نظام في فصل والتعرف على مختلف الأحكام الخاصة بهما من خلال نصوص القانون التجاري، وعليه فإن الهدف الأساس من إقرار هذه الآلية هو وقاية المشاريع التجارية من شهر الإفلاس من جهة، ومن جهة أخرى الحفاظ على أموال ومصالح الأشخاص سواء كانوا أشخاص طبيعيين أو معنويين بالإضافة إلى تحقيق المساواة بين الدائنين.

ترجمة الملخص

Commercial companies play an important role in the development of the national economy and in achieving financial stability through combining the efforts and money of individuals in the form of business projects which they cannot achieve alone regardless his capacity and potential, which makes them the best tool for the advancement of economy and as an evidence of that, commercial companies nowadays are a social and economic force. However, the financial conditions of these commercial companies may be adversely affected, which prevents themfrom continuing their economic activity. On this basis, the Algerian legislator has created a mechanism to protect them from bankruptcy which known as the judicial settlement system which resulted in the conclusion of a contract of judicial reconciliationbetween the debtor company and its creditors, so we have dealt with each system in one chapter in addition to the identification of their various provisions through shedding light on the provisions of the Commercial Law. Therefore, the main objective of this mechanism is to prevent commercial enterprises from bankruptcy on one hand; on the other hand, to preserve the funds and interests of persons, whether they are natural or legal persons, in addition to achieving equality between creditors.
