The subject of investment is considered one of the most important topics undertaken by the law legal , financial and contemporary economic studies. Practically , the main concern of both the advanced and the developing countries particularly the national companies that tended to conclude investment contracts in production for export only and not for meeting , the legal market s demands, and had become investing its wealth outside the boundaries of the mother nation of the company to benefit from relatively the distinguished characteristic that production in the developing countries enjoy such as the law cost of labor and the availability of raw materials necessary for the production operation to produce sods of lower cost and high competitive capability at the international markets. The economic and social growth are considered one of the most important phenomenon's of the current age and the term the economic and soul growth refers to social and economic change process manifested in the increase of the national income of the state and its high degree of production and general increase in the living standard of its population. Countries do their utmost efforts to achieve of whatever leads to increase their resources necessary for establishing social and economic growth plans subject to implementation through finding the proper investment environment which would assist on attracting the national and foreign capital for investment in the loon try that will attain benefit to it whether in obtaining the increased demands and needs of its people or in verifying the different economic activities for the purpose of increasing the export and minimizing the import not to mention of creating working opportunities for their citizens, therefore the duty of the developing countries is to study their requirements of the foreign investment capital and the way of dealing with it to accomplish equanimity among the national interests in part and the private interests of the investors from the other which will no doubt leads to streamlined flow of foreign currency which it seeks to execute its development plans. The importance of this topic arise from the actual situation in Iraq in his opening on the world and the orientation of foreign capital to conclude investment contract with him in all fields which would require the proper legal preparation suitable to that importance of opening, particularly that the subject of legal order to the investment contract did not receive the desired concern from the law men if we don’t say that the legal doctrines in this respect has become scarce. I have met a lot of difficulties in taking this topic and the attempt of going deep into its secrets and the first of which was the failure of the Iraq lawmaker to establish an investment contract within the civil law, the thing that demanded the collection of this subject scatter within the Iraqi law compared with the foreign laws and the second was of being it has not crystallized yet in previous studies taken from all sides . and in order to achieve the objective it is necessary to know the content of the investment contract , in other words the content and the legal description of the investment contract . it should also be necessary for looking after the forms and fields of the investment contract , for there are special methods of determining the shape of the investment contract . there is also the direct investment contract and the indirect investment contract . and dose the state has the right to determine the fields of investment ? moreover the research require the finding of the law that should be implemented on the investment contract and determining the legal protection that should be employed . which is different than that in the international law and the Arabian institution for securing the investment, which would require the division of the study to this topic formally to four chapters. We have assigned the first for understanding the content of the investment contract and the second for discussing the forms and fields of the investment contract and we have discussed in the third chapter about the law that should be implemented whereas in the fourth chapter was about the legal protection to the investment contract and concluding this simple thesis with the best of results that we desired to achieve.
