الملخص

تعد حوكمة الشركات من أهم المبادئ الدولية الخاصة بالقواعد المنظمة لإدارة الشركات حاليا، لما لها من مبادئ رشيدة تهدف إلى تنظيم العلاقات بين الأطراف الفاعلة في الشركات، وتعتمد حوكمة الشركات على البيئة القانونية و التنظيمية بالإضافة إلى عوامل أخرى كأخلاقيات الأعمال و المسؤولية الاجتماعية. كما يعتبر تطبيق مبادئ الحوكمة في قطاع التأمين أكثر أهمية من القطاعات الأخرى، نظراً لاحتواء شركات التأمين على مجموعة من العناصر والعلاقات المتداخلة لا توجد في الشركات المالية الأخرى وتؤثر بشكل كبير على طبيعة نظام الحوكمة، حيث أصبح هذا المفهوم أكثر تعقيداً في شركات التأمين التعاوني لما لهذه الأخيرة من عمليات مالية معقدة تختلف شكلا ومضمونا عن عمليات التأمين التقليدية، بالإضافة إلى وجود مجلسين هما مجلس الإدارة ومجلس الشريعة (هيئة الرقابة الشرعية) تتداخل في بعض الأحيان بين أهدافهما ووظائفهما، ويتفق الكثير من الباحثين والمهتمين على أهمية حوكمة هذه الشركات نظراً لما تكتسيه من دور وأهمية في تنمية قطاع التأمين التعاوني، ورفع مستوى أدائه، وتخفيض درجة المخاطرة المتعلقة بالفساد الإداري والمالي على مستوى هذه الشركات.

Corporate governance is one of the most important international principles specialized to give organizing rules for managing the corporate , because it has rational principles to regulate relationships between corporate actors. Corporate governance relies on the legal and regulatory environment, as well as other factors such asbusiness ethics and social responsibility. The application of the principles of governance in the insurance sector is more important because the insurance companies contain a number of elements and interrelationships that are not found in other financial companies and significantly affect the nature of the system of governance. This concept has become more complicated in cooperative insurance companies because of its complex financial operations that differ in form and content from traditional insurance operations .As well as the existence of two boards :the Board of Directors and the Shari'a Board, sometimes interfere in their objectives and functions. Many researchers and interested agree on the importance of corporate governance due to its role and importance in the cooperative insurance sector development, and raise the level of performance, reducing the degree of risk related to the administrative and financial corruption of these companies as follows :-Corporate governance is based on a set of principles ,which most important rules are : disclosure and transparency in the company's financial statements. It is an effective tool for controlling the company. It is also considered as an effective control system for controlling the performance of cooperative insurance companies and protecting the interests of policyholders.-Cooperative insurance companies need to apply the principles of governance as the right framework for the development of their performance, especially with the development and institutionalization of insurance business-The development of cooperative insurance industry which requires efforts to apply and promote the principles of corporate governance in cooperative insurance companies;-The commitment in applying the intellectual aspects of the governance on the cooperative insurance companies will reflect well on the performance of operational and financial dimensions.
