The Single Person company is considered one of the currently argued issues in the world of law and this is not only because it's unique in legal principles such as the contract concept , and principle of unified financial obligation ,but also because of its economic importance especially in our third world countries where it's the most suitable form for small and medium business projects which are encouraged in these countries .In our country –Syria –the Single Person company has special importance because of being acknowledged legislatively where the for the first time the Syrian legislator acknowledged the sole proprietorship based on the decree No. /29/ for the year 2011 .Therefore it was necessary for us to shed some light on the legal system applied on this company through our research :( The Legal System For a Single Person Company in the Syrian Law )For this purpose we divided the research into : introductory chapter : the concept of the Single Person company and for clarifying this concept we defined the essence of this company by defining it and indicating its origins , presence justifications and then we moved to talk about legal constraints which stood in face of its legislative acknowledgment .chapter one : the creation of Single Person company . We discussed in the first section of this chapter how to establish the company and we presented the objective and formal conditions for establishment and then we devoted the second section to talk about the company's management through the research in the rules and regulations controlling the manager's work and arriving to its responsibility and monitoring the company's management works . chapter two : studies the destination of the Single Person company and we studied in the first part of this chapter how to transform the company and how it's joined ventured and in the second part we studied the company's expiry / termination through the talk about the reasons of company's dissolution and them liquidity . The study concluded some result and recommendations which aim to close the existing gaps in the legal system applied on Single Person company either in companies law No. /29/ of 2011 or the executive instructions for the Single Person company issued by the resolution No. /1740/ of 2011 .
